A certificate of good standing is a document issued by the D.C. Department of Consumer and Regulatory Affairs (DCRA) certifying that a company exists or is authorized to do business in D.C., and that the company has complied with all legal requirements. The most common need for a certificate of good standing is when a business wishes to transact business in another state. A certificate of good standing may also be necessary to allow a business entity to enter certain kinds of contracts or perform other tasks.

 

A certified copy is a photocopy of a document you have previously filed with DCRA. Attached to the photocopy is a certificate issued by DCRA that the photocopy is a true and correct copy of the original document in question. Documents available for certified copies may include, among others, Articles of Incorporation, Organization Documents, Two-Year Annual Reports, Articles of Merger/Amendment, Certificates of Authority/Registration, and Qualification Forms for Partnerships.

 

Certified copies are required in numerous instances. For example, if you are applying to do business in another state or want to open a bank account, certified copies of documents may be required. They are also valuable if you have lost your original documents or need to prove that a particular document is authentic.
